Paul M. Roder is a partner in the Banking and Finance group of Moses & Singer LLP. For over two decades, Paul has advised money center banks and other financial institutions in all aspects of fund finance, including subscription, hybrid, and general partner and management company credit facilities, as well as the use of capital commitments to support other extensions of credit. His clients often seek his advice in connection with their most challenging financing opportunities, where he provides innovative and tailored solutions in a cost-effective manner.
In addition to handling hundreds of traditional subscription credit facilities, Paul has negotiated and documented facilities for complex multi-fund, multi-layered fund, and open-ended fund structures across multiple jurisdictions. He has advised clients on various credit support structures, including utilizing capital commitments as credit enhancements for portfolio company and joint venture financings. He also has counseled clients on the use of unusual credit solutions, such as dedicated tranche financing.
Aside from his work in the fund finance space, Paul represents domestic and foreign financial institutions in a variety of other financing transactions, including secured and unsecured lending and letter of credit transactions. He routinely advises lead agents and arrangers, and lenders and issuing banks, in syndicated credit facilities for public and private companies. Paul also has extensive experience representing lenders and issuing banks in private banking transactions and in all facets of trade finance.
